The role

Tavily by Nebius is looking for a Commercial Legal Counsel with experience in technology transactions and privacy to join our Legal team.

You’ll take ownership of commercial agreements that support Tavily’s global business, partner closely with our Go-to-Market teams, and help ensure compliance with applicable privacy and data protection requirements. You’ll also help shape the legal templates, processes, and guidance that support our continued growth.

This is an opportunity to combine hands-on deal ownership with broader work across technology, AI, privacy, and international transactions.

What you’ll do

• Lead commercial negotiations. Draft, review, and negotiate customer, SaaS, reseller, service level, vendor, and partnership agreements.
• Partner with Go-to-Market teams. Help move customer deals forward by offering clear advice that balances business goals and legal risk.
• Support privacy and data protection. Negotiate data processing agreements (DPAs) and help strengthen Tavily’s privacy program across relevant markets.
• Manage complex transactions. Coordinate cross-border negotiations involving multiple internal and external stakeholders.
• Make legal guidance practical. Translate commercial, privacy, and intellectual property considerations into actionable recommendations.
• Build for scale. Improve contract templates, negotiation playbooks, and legal workflows to make recurring work more efficient and consistent.

What you’ll bring

• A J.D., LL.B., or equivalent law degree and admission to practice in the United States, an EU member state, or Israel.
• 4+ years of relevant legal experience at a law firm, a technology company, or a combination of both.
• Experience independently drafting and negotiating technology and commercial agreements, including complex enterprise customer contracts.
• Practical experience with DPAs and privacy requirements such as GDPR and California and other U.S. state privacy laws.
• Working knowledge of intellectual property and copyright issues relevant to technology agreements.
• Sound commercial judgment, careful drafting, and the ability to explain legal issues clearly to business partners.
• The ability to prioritize competing deadlines and manage negotiations with multiple stakeholders.

Helpful, but not required

• Experience supporting a SaaS or AI business.
• A combination of law firm and in-house experience.
• Familiarity with AI regulation.
• Experience negotiating data purchasing or licensing agreements.
• Experience building legal processes in a growing technology company.

Pay Transparency

We offer competitive compensation and benefits packages. Actual compensation will be determined based on job-related factors, including experience, skills, qualifications, the level at which the candidate is hired, and geographic location, consistent with applicable law.

Base Compensation Range

$206,400—$258,000 USD
